Welcome to ConvergenceAI SAS ("we", "our", or "us").
These Terms of Service ("Terms") govern your access to and use of the Unity Layer platform, and related services (collectively, the "Service").

By accessing or using the Service, you ("Customer", "you", or "your") agree to be bound by these Terms.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with these Terms, you may not access or use the Service.

PLEASE READ THESE TERMS CAREFULLY. BY USING, ACCESSING, OR PLACING ANY ORDERS ON THE UNITY LAYER PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS, AGREE TO BE BOUND BY THEM, AND THAT YOU ARE AT LEAST 18 YEARS OF AGE (OR HAVE REACHED THE AGE OF MAJORITY IN YOUR JURISDICTION). IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE UNITY LAYER PLATFORM OR ANY OF ITS SERVICES.

ConvergenceAI SAS reserves the right to refuse access to or use of the Unity Layer platform or platform services for noncompliance with any part of these terms. These terms are void where prohibited by law, and any rights to access or use Unity Layer are revoked in such jurisdictions. By accessing or using the Unity Layer platform, you agree to comply with any additional terms, conditions, policies, and documents that may be incorporated by reference, including without limitation, the Unity Layer privacy policy.

ConvergenceAI SAS provides a B2B data platform that enables agentic data analysis, visualization, and insights generation.
The Service may include:

• Secure data ingestion and integration tools
• Automated or agentic data analysis features
• Interactive dashboards and visualizations
• Optional professional or managed services

We reserve the right to modify or discontinue any feature, temporarily or permanently, without notice.

The Service is intended for business and professional use only.
By using the Service, you confirm that:

• You are at least 18 years old,
• You are acting in a professional capacity, and
• You have the legal authority to enter into this agreement.

To access certain features, you may be required to register for an account.
You agree to:

• Provide accurate and complete information,
• Maintain the confidentiality of your login credentials, and
• Notify us promptly of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

You agree to use the Service in compliance with all applicable laws and these Terms.
You shall not:

• Attempt to gain unauthorized access to the Service or its infrastructure,
• Reverse-engineer, decompile, or copy proprietary components,
• Upload or transmit harmful code or data,
• Use the Service to infringe on any third-party rights, or
• Misuse or abuse any AI/agentic features in ways that could cause harm or violate data protection laws.

You retain ownership of all data you upload ("Customer Data").
By submitting Customer Data, you grant us a limited, non-exclusive license to process and analyze it solely for the purpose of providing the Service.

We will implement reasonable and appropriate technical and organizational measures to protect Customer Data in accordance with our Privacy Policy.

We do not claim ownership over any insights or analytics derived from your data, though we may use aggregated, anonymized data for service improvement and benchmarking.

All rights, title, and interest in and to the Service, including software, algorithms, designs, and documentation, are owned by ConvergenceAI SAS or its licensors.

You are granted a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business purposes only.

Access to the Service may be subject to fees as set forth in your subscription plan or order form.

• All fees are exclusive of taxes unless otherwise stated.
• Payments are due according to the terms specified in your plan or invoice.
• Failure to pay may result in suspension or termination of your access.

Each party agrees to protect the other's confidential information using reasonable care and not to disclose it to any third party except as required by law or with prior written consent.

The Service is provided "as is" and "as available", without any warranties of any kind, whether express or implied.
We do not guarantee that:

• The Service will be uninterrupted or error-free, or
• The results obtained will meet your expectations or be free from inaccuracies.

You are responsible for verifying the accuracy of outputs, insights, and analytics before relying on them for decision-making.

To the maximum extent permitted by law, ConvergenceAI SAS and its affiliates shall not be liable for:

• Any indirect, incidental, or consequential damages,
• Any loss of profits, data, or business opportunities, or
• Any damages exceeding the total amount paid by you to ConvergenceAI SAS in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless ConvergenceAI SAS, its officers, employees, and affiliates from any claims, damages, or losses arising from:

• Your use of the Service,
• Your violation of these Terms, or
• Any infringement of third-party rights through Customer Data or usage.

We may suspend or terminate your access if you violate these Terms or engage in misuse of the Service.
You may terminate your account at any time by written notice.

Upon termination:

• Your access to the Service will cease, and
• We will delete or anonymize Customer Data within a reasonable timeframe, unless retention is required by law.

These Terms shall be governed by and construed in accordance with the laws of France.
Any disputes shall be resolved exclusively in the courts of France, unless otherwise required by applicable law.

We may update these Terms from time to time.
Any changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service constitutes acceptance of the revised Terms.
